Agreement terms and conditions for Eldøy Tech AS Software Services

This service agreement ("the Agreement") is entered into between Eldøy Tech AS ("Eldøy Tech AS"), a Norwegian company with organization number 934012909, and you, and applies from the date of your electronic acceptance. The terms "we", "us" or "our" shall refer to Eldøy Tech AS. The terms "you", "you", "your" or "the customer" shall refer to any natural or legal person who enters into this agreement with us.

This version supersedes all previous versions of the Agreement. You acknowledge and agree that Eldøy Tech AS may at any time and in its sole discretion amend or update this Agreement and any guidelines or agreements incorporated herein, and that such changes or modifications shall take effect immediately after they are published on our web site (https://app.eldoy.com).

Your continued use of the Services offered by Eldøy Tech AS after such changes or modifications have been made shall constitute your acceptance of this Agreement in its latest version.

General

This agreement covers all services provided by Eldøy Tech AS. The terms are considered accepted in their entirety, when ordering, using and renewing services from Eldøy Tech AS.

Eldøy Tech AS has the right to reject any assignment or order.

Obligations and division of responsibilities

The agreement gives the user the ability to host a web site on a server at Eldøy Tech AS. The Web site is accessible to Internet users. Eldøy Tech AS's liability is described in this agreement.

Content and features

The company or user is responsible for posting, as well as updating information on the pages. All content posted on the server is the user's responsibility and he retains ownership and copyright of the material posted. The company or user is responsible for all material posted on the server and that copyright provisions are not violated.

The user is also responsible for ensuring that the necessary licenses from public authorities are available, and that the material is not defamatory or otherwise illegal.

It is not permitted to post pornographic material. Racist material or offensive material of any kind is not permitted on our servers.

Eldøy Tech AS has ownership and copyright of all existing and future program code and technical solutions that are made available to the user.

If the user has posted software or something else that causes errors and problems on the servers and that burdens other users on the same server, Eldøy Tech AS reserves the right to close the user's web site, or ask the user to stop using the problematic software. This also applies to web sites that take up a disproportionate amount of capacity.

Operation

Eldøy Tech AS takes care of the operation of the server. Eldøy Tech AS continuously monitors the service and monitors the status of the equipment included in the service.

Customer service

In the event of a need for user support or in the event of any error situations, the user must contact the Eldøy Tech AS user service via email. In the event of error messages, Eldøy Tech AS will initiate tests to find the cause of the reported error.

Limitation of liability

Eldøy Tech AS is not held responsible if users of the Internet, consciously or unconsciously, gain access to the company's or user's data resources and disrupt or hinder the flow of information. The company or user is responsible for introducing and following their own security rules for publishing and backup, so that usernames and passwords are not known to unauthorized persons.

The company or the customer undertakes to indemnify Eldøy Tech AS for any claim that a third party may make against Eldøy Tech AS that is related to the material that the user has entered on the service machine. Eldøy Tech AS shall in no way be held liable if equipment or services at Eldøy Tech AS should fail and this entails disadvantages / losses for the users. Maximum liability for breach of the agreement by Eldøy Tech AS is limited to the value of the agreement to the individual customer.

In the event of gross negligence or intent on the part of Eldøy Tech AS, the liability for damages is limited to NOK 0.

Exclusion

Eldøy Tech AS has the right to immediately close the company's or user's service, in the event of a breach of the rules set out here or in the event of omission of settlement.

A closure on the basis of the above will be regarded as a termination, so that the subscriber's payment obligations apply until the time the agreement should terminate according to the normal notice period.

Payment

Payment must be made against an invoice due 14 days after the invoice date.

In the event of late payment, 1% default interest per. commenced month will incur. As well as a reminder fee of NOK 50.-

Newly registered subscriptions are active immediately after confirmation of payment, or when an optional trial period begins. The subscription is due for renewal 60 days before the end of the current agreement period.

Failure to pay within the specified deadlines is considered termination of the account, and leads to deletion of the application and the service with us.

Prices

Prices and any other services are negotiated and agreed upon before signing up. All prices are subject to change by Eldøy Tech AS with a minimum of 1 month's notice. Notice will be announced by email. All prices are excluding VAT.

Force Majeure

If the implementation of the agreement is completely or partially hindered or significantly hampered by matters beyond the parties' control, the parties' obligations are suspended to the extent that the relationship is relevant and for as long as the relationship lasts.

Other provisions

The customer may not transfer his rights and obligations under this agreement without the consent of Eldøy Tech AS. Termination for services provided by Eldøy Tech AS shall take place within 1 month before the end of the agreement period. If termination is delivered after this time, the customer will be invoiced for a new year.

The services provided by Eldøy Tech AS can be moved at the customer's expense, to another ISP at any time. However, agreed costs are incurred for the agreement period.

Such a transfer will be considered a termination and the customer's account with Eldøy Tech AS will be blocked immediately. In such cases, the customer must notify Eldøy Tech AS in writing that the customer relationship has ended. This must take place no later than 1 month before the end of the agreement period, unless costs for a new agreement period are to accrue.
